Terms of Use

1. Acceptance of Terms

By installing, accessing, or using indieTJ (Independent Trader Journal) — whether via the web application at indietj.com or as a browser extension — you agree to these Terms of Use. If you do not agree to these terms, do not use the application.

These terms apply to all versions of indieTJ, including browser extensions published on the Chrome Web Store and Firefox Add-ons store.

2. Description of Service

indieTJ is a local-first browser application designed to help retail stock traders:

• Track portfolio positions and transaction history
• Calculate effective cost and capital recovery metrics
• Analyze profit and loss on trades
• Store trading notes and AI workflow prompts
• Maintain a personal trading journal across years

indieTJ is a personal productivity and journaling tool only. It is not a brokerage, investment platform, financial advisory service, or trading system. It does not execute trades, connect to brokerage accounts, or provide personalized investment recommendations.

3. License to Use

Subject to your compliance with these Terms, you are granted a personal, non-exclusive, non-transferable, revocable license to use indieTJ for your own personal, non-commercial trading journal purposes.

You may not:

• Reverse engineer, decompile, or disassemble the application
• Remove or alter any copyright or proprietary notices
• Use the application to provide commercial services to third parties without permission
• Redistribute or resell the application or its components
• Use the application in any way that violates applicable laws or regulations

4. Software Provided "As-Is"

indieTJ is provided "as-is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, completeness, or reliability of any calculations
• Warranties of uninterrupted or error-free operation
• Warranties that the software will meet your specific requirements

You use indieTJ at your own risk. The developer makes no guarantee that the application will function correctly in all browser environments or that calculations will be free of bugs or errors. You should always verify important financial calculations independently before making trading decisions.

5. Market Data Accuracy

indieTJ optionally integrates with the Finnhub public API to display stock price information. All market data displayed within indieTJ is subject to the following limitations:

• Prices may be delayed by 15 minutes or more depending on your Finnhub plan
• Data accuracy and availability are dependent on Finnhub's service — not indieTJ
• indieTJ makes no warranty regarding the accuracy, completeness, or timeliness of any price data
• Market data should never be the sole basis for any trading decision
• Always verify prices with your broker before placing any trade

6. Not Financial Advice

indieTJ does not provide financial, investment, tax, or legal advice. The application is a personal journaling and calculation tool. Any calculations, metrics, or figures displayed by indieTJ — including profit/loss calculations, effective cost figures, capital recovery percentages, and unrealized P/L — are computational outputs based on data you enter. They are not recommendations to buy, hold, or sell any security.

You should consult a qualified financial advisor, broker, or tax professional before making any investment decisions. Past performance displayed in your journal does not guarantee future results.

7. User Responsibility

You are solely responsible for:

• All trading decisions you make, regardless of what indieTJ displays
• The accuracy of data you enter into the application
• Maintaining backups of your portfolio data using the Export feature
• Any financial losses or gains resulting from your trading activity
• Compliance with tax reporting obligations in your jurisdiction
• Compliance with any applicable securities laws and regulations
• The security of your device and browser environment
• Your Finnhub API key and any charges incurred through its use

8. Data and Backups

All data is stored in your browser's localStorage. The developer has no access to your data and cannot recover it if it is lost. You acknowledge that:

• Clearing your browser data, cookies, or localStorage will permanently delete your portfolio data
• Uninstalling the browser extension may delete stored data
• Browser updates, reinstalls, or resets may affect locally stored data
• You are solely responsible for maintaining regular backups via the JSON Export feature
• The developer assumes no liability for data loss of any kind

9. Limitation of Liability

To the maximum extent permitted by applicable law, the developer of indieTJ shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Financial losses from trading decisions made using or influenced by indieTJ
• Loss of data due to browser behavior, device failure, or any other cause
• Inaccurate calculations resulting from incorrect data entry
• Loss of profits, revenue, goodwill, or business opportunities
• Any damages arising from reliance on information displayed by indieTJ

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you in full.

10. Third-Party Services

indieTJ integrates with Finnhub for optional price data. Finnhub is an independent third-party service with its own terms of service and pricing. Your use of the Finnhub API is subject to Finnhub's terms and conditions. indieTJ is not affiliated with or endorsed by Finnhub.

11. Modifications to the Software

The developer reserves the right to modify, update, or discontinue indieTJ at any time without prior notice. Updates may change functionality, interface, or features. Since your data is stored locally and you own your JSON exports, updates to the software do not affect data you have backed up.

12. Modifications to Terms

These terms may be updated from time to time. The current version will always be available at indietj.com/terms.html. Continued use of indieTJ after any changes constitutes acceptance of the updated terms.

13. Governing Law

These Terms of Use shall be governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation where possible.
